Do you count the extras on the VX as a bonus or a negative?
Are you keeping it forever or looking to sell in a few years?
Is this a financial question you are asking, ie which one will have better resale or is it a reliability question ie is newer better if everything else is equal!

2013 prado from ex lease; 24k's, looks like new asking price 56000 nzd. 2010 prado vx ltd;56k, in good condition, asking price 59000nzd. Both cars are diesel and full service history. Not sure which one I should buy?
Depends too on how long you want to keep it. If you want to keep it for years, and the VX's books are good, then you get the VX features: far better seats; exterior lighting and interior lighting and sound systems, standard better handling on and off road because of the advantages of KDSS suspension systems.
For the practical person though, the GXL is IMO the better buy if you like the GXL seats. Because its more than half the mileage, and is still under warranty. You can even add a factory warranty to it because its still under warranty. Its the last run of the pre update 150s, so they sure knew how to build them by then. Most Prados sold are GXLs so really, its the sensible choice. Unless you hate the GXL seats. My wife did ...

Is it the facelift 2013 model? If it is you will have most of the features of the earlier GXL except climate A/C and window tint
